Terms of Service

1. Acceptance of Terms

By accessing and using RhinoPLM ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Emailing updated terms to registered users
• Posting a notice on our website
• Updating the "Last Updated" date at the top of these Terms

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

3. Description of Service

RhinoPLM is a Product Lifecycle Management (PLM) plugin for Rhino 8 that provides:

• Version control and revision management for Rhino .3dm files
• Bill of materials (BOM) structure tracking
• User authentication and role-based access control
• Check-in/check-out system for collaborative editing
• STEP file import/export for CAD interoperability
• File vault management with local and optional cloud storage
• Project and item organization
• Activity logging and audit trails

4. User Accounts

4.1. Account Registration

To use RhinoPLM, you must:

• Be at least 18 years old
• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Accept these Terms and our Privacy Policy

4.2. Account Security

You are responsible for:

• Maintaining the confidentiality of your account information
• Not sharing your password or allowing others to access your account
• Immediately notifying us of any unauthorized access
• Using strong, unique passwords

4.3. Account Termination

You may terminate your account at any time by:

• Contacting our support team
• Submitting a deletion request through our website

Upon termination, we will:

• Deactivate your account immediately
• Delete your personal information within 30 days
• Provide option to export your data before deletion

5. License and Subscription

5.1. Subscription Plans

RhinoPLM is offered under the following subscription plans:

Lite Edition (Free)

Available to individual users with the following limitations:

• 1 user (single-user mode)
• 1 project maximum
• 50 items per project maximum
• 3 revisions per item maximum
• Flat BOM only (no hierarchy)
• 10 materials (library only)
• 5 drawings maximum
• 10 documents, 100MB storage maximum
• Basic search functionality
• No team features (checkout/checkin, notifications, etc.)
• Community support only

Pro Edition

Available for teams and organizations at $199 per user per year (annual billing):

• Unlimited users
• Unlimited projects
• Unlimited items
• Unlimited revisions
• Full hierarchical BOM
• Unlimited custom materials
• Unlimited drawings
• Unlimited documents, 10GB storage per user
• Advanced search and filters
• Visual thumbnails
• Batch operations
• Full checkout/checkin with file locking
• Email and in-app notifications
• Excel/CSV export
• Email support (24-hour response)

Enterprise Edition

Custom pricing for large organizations. Includes all Pro features plus:

5.2. Payment Terms

By subscribing to a paid plan, you agree to:

• Providing accurate and complete billing information
• Authorizing us to charge your payment method
• Paying all fees when due
• Maintaining a valid payment method

5.3. Billing and Renewals

Subscriptions are billed annually. You will be notified of upcoming renewals 30 days in advance. Subscriptions automatically renew unless cancelled.

5.4. Refund Policy

We offer a 30-day money-back guarantee for Pro and Enterprise subscriptions. To request a refund:

• Contact our support team within 30 days of purchase
• Provide your order number or email address
• Explain the reason for your refund request

6. Acceptable Use Policy

You agree to use RhinoPLM only for lawful purposes and in accordance with these Terms. You may not use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Create, upload, or distribute malware or harmful content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service for spam, phishing, or fraudulent activities
• Reverse engineer or attempt to extract source code
• Share accounts or credentials with others
• Share .3dm or STEP files containing proprietary or confidential information of others

7. Intellectual Property Rights

7.1. Your Content

You retain all rights to your .3dm and STEP files, project data, BOM structures, and any other content you create or upload to RhinoPLM. You grant us a license to use your content solely for providing the Service.

7.2. Service Content

The Service, including its design, features, and functionality, is owned by Maritime Projects B.V. and is protected by copyright, trademark, and other intellectual property laws.

7.3. Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property. We may use your feedback to improve the Service without compensation or obligation.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service will meet your requirements
• The Service will be compatible with all Rhino versions or third-party software

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARITIME PROJECTS B.V. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, use, or business
• Third-party claims or disputes
• Loss of .3dm or STEP files or design data
• Any damages exceeding the amount you paid for the Service in the preceding 12 months

10. Termination

10.1. Termination by You

You may terminate your use of the Service at any time by:

• Disabling or removing the RhinoPLM plugin
• Cancelling your subscription (for paid plans)
• Deleting your account

10.2. Termination by Us

We may terminate or suspend your access to the Service at any time, without prior notice, for any reason, including but not limited to:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Non-payment of subscription fees
• Extended period of inactivity
• Legal requirements or court order

Upon termination, we will:

• Revoke your access to the Service
• Delete or archive your account data according to our retention policy
• Pro-rate any unused portion of your subscription

11. Indemnification

You agree to indemnify, defend, and hold harmless Maritime Projects B.V. from any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use of the Service
• Your content uploaded to the Service

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the Dutch Arbitration Institute.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect as if the unenforceable provision had never been part of these Terms.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed a further or continuing waiver unless expressly stated in writing.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Maritime Projects B.V. regarding your use of the Service. These Terms supersede all prior agreements between you and Maritime Projects B.V. regarding the Service.
